These terms are between Woolf IT Solutions LLC, a Florida limited liability company ("we", "us"), and the business that authorizes this application to connect to its QuickBooks Online company ("you"). By connecting the application or using it, you accept these terms.
QB Template Generator reads estimate and invoice records from a QuickBooks Online company you authorize, renders them onto a document template your business has approved, and delivers the result as a PDF by email or download. Access is provisioned by us on request. This is not a public self-service product.
Documents are rendered from the data in your QuickBooks company at the time of generation. We do not verify, calculate or correct amounts, tax, quantities or customer details. A document produced by this service is not a substitute for your own review. You are responsible for anything you send to a customer.
We aim to keep the service running but do not guarantee uninterrupted availability. The service depends on Intuit's API, our hosting provider and your email provider, and can be affected by their outages, rate limits or changes. We may modify or discontinue features, with notice to active customers where practical.
Fees, if any, are set out in your service agreement or invoice with Woolf IT Solutions LLC. Where the service is provided as part of a managed services engagement, that agreement governs pricing and term.
You may stop using the service at any time by disconnecting it in QuickBooks Online under Apps. We may suspend or end access for non-payment, misuse, or a violation of these terms. On termination, we will delete stored tokens and, on request, your template and delivery records.
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
To the fullest extent permitted by law, our total liability arising out of or relating to the service is limited to the amounts you paid us for the service in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost business, even if advised of the possibility.
You will indemnify and hold us harmless against claims arising from the images, marks, certifications or claims you place on your template, and from documents you send to your customers.
These terms are governed by the laws of the State of Florida, without regard to conflict of law rules. Venue for any dispute is Polk County, Florida.
QuickBooks and QuickBooks Online are trademarks of Intuit Inc. This application is not affiliated with, endorsed by or sponsored by Intuit Inc. Your use of QuickBooks Online is governed by your agreement with Intuit, not by these terms.
We may update these terms. Material changes will be posted here with a new date and sent to active customers by email before taking effect.
